Spain’s Banco Santander has completed its $12.3 billion acquisition of Webster Bank, expanding its presence in the United States and creating a significantly larger banking operation with a major footprint in Connecticut.

Following the transaction, Webster’s former headquarters in Stamford will become one of Santander’s main U.S. corporate hubs, joining existing locations in Boston, New York, Miami and Dallas.

A larger U.S. banking operation

The combined institution now has approximately:

  • $327 billion in assets.
  • $185 billion in loans.
  • $172 billion in deposits.

The acquisition officially begins a new phase for Webster customers, as competing banks across Connecticut look to attract clients who may reconsider their banking relationships during the integration process.

Smaller Connecticut banks see potential opportunities created by the disruption that often follows large financial mergers. However, Santander executives said they intend to take a careful approach to integration in order to minimize customer disruption.

“We look forward to disappointing all of them,” Santander U.S. President and CEO Christiana Riley said regarding competitors seeking to gain Webster customers.

Webster brand to remain during transition

Webster Bank will continue operating under its existing brand and technology systems for at least another year. However, executives said the long-term plan is to combine both institutions under the Santander name.

The companies expect to move to a unified technology platform and brand by the end of 2027.

John Ciulla, former Webster CEO and current CEO of Santander Bank N.A., said customers should experience minimal immediate changes.

One immediate benefit is expanded ATM access, allowing customers from both banks to use Santander and Webster ATMs nationwide without fees.

Cost savings and potential job reductions

While Santander is emphasizing customer continuity, the merger will eventually create operational changes behind the scenes.

The bank expects to achieve approximately $800 million in cost savings by 2028, primarily through combining technology platforms and eliminating duplicated back-office functions.

Riley acknowledged that some job reductions are likely as part of the integration process but said the company has not determined the exact number of positions affected.

Webster Financial employed approximately 4,500 full-time employees at the end of 2025.

Executives emphasized that the reductions are not expected to focus on branch closures or customer-facing operations. They also said the changes will not disproportionately affect Webster employees or Connecticut operations.

Ciulla described the process as a deliberate effort to improve efficiency rather than a major workforce reduction strategy.

Connecticut remains a key market

Webster’s strong presence in Connecticut fills an important gap in Santander’s U.S. branch network.

At the end of 2025, Webster operated:

  • 195 branches nationwide.
  • 95 branches in Connecticut.
  • 76 branches in New York.
  • 17 branches in Massachusetts.
  • 7 branches in Rhode Island.

Santander executives said Connecticut had previously been a difficult market for the bank to penetrate, making Webster’s network strategically valuable.

“This fills in a very attractive white space for us,” Riley said.

Lessons from previous bank mergers

Santander and Webster executives said they are studying previous banking integrations, including M&T Bank’s acquisition of People’s United Bank, which faced customer complaints following technology changes.

Ciulla said Webster applied lessons from its own merger with Sterling Bancorp by focusing on communication and maintaining engagement with regulators during the transition.

The Santander integration will move at a slower pace, with Webster continuing to use its existing systems while both companies prepare for a future technology conversion.

Ciulla said the goal is to create a single platform that benefits customers while ensuring disruption remains minimal throughout the process.
